TERMS & CONDITIONS

HUMAN RESOURCES CONSULTING AGREEMENT 

​SERVICES PROVIDED 

​

Example of the operational and strategic support services the HR Consultant can provide, as agreed with the client:  

        

  • HR advise and support across the employee lifecycle  

  • Current UK Employment law guidance 

  • Bespoke HR Documentation – handbook, contracts, policies and templates 

  • Audit of current practises and action report 

  • Proactive Health and Safety Management guidance  

  • People management best practice advise  

  • Recruitment  

  • Onboarding 

  • Enhancing employer brand and culture 

  • Designing development programs  

  • Engagement survey and action planning 

  • Performance management  

  • Reward and recognition  

  • Issues; investigations, disciplinary, grievances 

  • Change management; redundancy, varying T&C's, TUPE 

  • Dismissal support  

  • The services will also include any other consulting tasks which the parties may agree on in writing.

HOURS OF THE CONTRACT  

 

  • You will receive up to x hours of HR support per month.  

  • Hours worked will be tracked on a timesheet, and they’re flexible within the month. 

  • Unused hours roll over to the next month (like a bank) for busier times. 

  • Any hours used above x will be deducted from future allowances or charged separately (we’ll discuss this beforehand). 

  • Every quarter, we can review your needs and adjust the monthly hours if needed. 

  • After a year, any banked hours will reset. We'll discuss using them for project work before resetting. 

  • Day visits are (usually 10am-4pm) or half-day (10am-1:30pm). 

  • You can request timesheet activity logs anytime.

COMPENSATION 

 

To make things simple, we'll handle payments through two channels: 

 

  • Monthly Retainer: Will be automatically deducted from your account on the 1st of each month via a standing order. This ensures consistent access to HR expertise. 

  • Ad-hoc Work & Recruitment: Any additional services, like project days or recruitment activities, will be invoiced separately.

Here's a breakdown of recruitment fees: 

​

  • Recruitment Fee: 5-7.5% of the new hire's annual salary (invoiced separately). 

  • Job Advertisement Costs: Range from £150-£600 depending on platform and duration (invoiced separately). 

 

For the retained service and additional services, invoices will be sent electronically through Xero. The consultant kindly asks that the additional invoices be settled within 14 days of receipt to maintain a smooth cash flow.

PROFESSIONAL STANDARDS

As such, she adheres to the Code of Professional Conduct established by the CIPD, ensuring her business practices reflect the Institute's commitment to excellence in HR. CANCELATION RIGHTS

The contract may be terminated in two ways:  

​

  • Mutal agreement: Either you or the consultant can decide to end the agreement by providing written notice to the other party at least 60 days in advance.  

  • Client breach: If you breach the agreement and fail to fix the issue within 30 days of written notice from the consultant, she can then immediately terminate the agreement.

TERMINATION 

 

The client and consultant can terminate the agreement in writing immediately without notice or payment of any compensation in the following circumstances; 

 

  • Is guilty of any misconduct, negligence or incompetence  

  • Commit any fundamental or repeated breach of this agreement  

  • Commits a criminal offence or acts in any way dishonestly

LIABILITY FOR ADVICE GIVEN 

 

Advice: The consultant strives to provide accurate information and helpful advice in good faith based on the details you share with her. However, she can't guarantee absolute accuracy. It's always your call to decide what's best for your business. The consultant accepts no liability for the consequences of its information, opinions and advice, whether direct or indirect.  

​

Indemnify: The Client will indemnify the consultant and keep it indemnified from and against any claims by any third party for or in respect of such damages. The consultant’s liability is limited to the value of the contract with the Client or the value of the loss whichever is the smaller.  

 

Independent Insurance: The consultant doesn’t offer employment tribunal insurance, but you're welcome to get your own. 

​

Professional Cover: The Consultant does have professional indemnity insurance through her Chartered CIPD membership. This means if proven negligent and it causes you financial loss, you can make a claim against our insurance. 

 

Verification: For critical decisions, the consultant may recommend double checking compliance with an               employment lawyer before moving forwards with any actions. 

 

PUBLICITY   

​

The consultant may wish to showcase the work with you, but the consultant won't do anything without your go-ahead. This means getting your permission to: 

 

  • Mention you as a client (past or present) in her marketing materials. 

  • Briefly describe the type of HR services she provided (without revealing confidential details). 

  • If you share the results of her work, the consultant kindly asks that you acknowledge Mint Manager’s contribution. Of course, if there's a specific reason you'd prefer not to, just let the consultant know.

CONFIDENTIALITY

 

We understand that you trust the consultant with sensitive information. The Consultant at Mint Manager agrees to keep all information you provide confidential and secure, except in the following situations:

 

  • The information is already public knowledge. 

  • You give us explicit permission to share it. 

  • We need to share it to complete our work for you, provided there's a separate agreement between you and the third party allowing such disclosure. 

  • A court of law orders us to disclose the information (including if you don't pay us). 

  • Three years have passed since we received the information.

DATA 

​

The consultant takes your data security seriously  

​

  • The consultant complies with all relevant data protection regulations like GDPR 

  • Your data is kept safe using secure servers hosted by Microsoft, a trusted cloud provider with strong security practices. Your data will be encrypted both at rest and in transit.  

​

DECLARATION  

​

This agreement details everything we discussed about the services and how we'll work together.
